1. Acceptance of Terms

By installing or using Adsify (the "App"), you ("Merchant" or "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not install or use the App. These Terms constitute a binding agreement between you and the operator of this App ("we", "us", or "our").

2. Description of Service

The App is a Shopify-embedded application that enables merchants to:

• Synchronise Shopify product catalogs to Google Merchant Center, Meta (Facebook/Instagram) Catalog, and Microsoft (Bing) Merchant Center.
• Manage feed rules, product overrides, and promotions for advertising channels.
• Install and configure tracking tags (Google Tag, Meta Pixel, Microsoft UET) and server-side conversion tracking.

Channel connections are optional and require separate accounts with Google, Meta, and Microsoft subject to their own terms of service. We are not affiliated with these third parties.

3. Eligibility and Account

• You must have an active Shopify store and be authorised to install apps on that store.
• You are responsible for maintaining the security of your Shopify account and any connected channel accounts.
• You must be at least 18 years old or of legal age in your jurisdiction to enter into this agreement.

4. Subscription Plans and Billing

• The App offers free and paid subscription plans. Paid plans are billed through Shopify's App Subscription billing system and will appear on your Shopify invoice.
• Plan limits are based on the number of active product variants (SKUs) synced to advertising channels.
• You may upgrade or downgrade your plan at any time. Downgrading takes effect at the next billing cycle. Upgrading takes effect immediately.
• We reserve the right to change pricing with 30 days' advance notice to active paid subscribers.
• Refunds are handled through Shopify's standard billing policies. We do not offer partial-month refunds for cancellations.

5. Acceptable Use

You agree not to use the App to:

• Submit products that violate Google, Meta, or Microsoft advertising policies.
• Submit counterfeit, illegal, or prohibited products to any advertising channel.
• Attempt to circumvent plan limits, rate limits, or access controls.
• Reverse engineer, decompile, or attempt to extract the App's source code.
• Use the App in a way that places excessive load on our infrastructure or the connected channel APIs.

Violation of these terms may result in immediate termination of your account without refund.

6. Channel Policies

Product submissions to Google, Meta, and Microsoft are subject to each platform's own policies, including but not limited to:

• Google Merchant Center requirements
• Meta Advertising Policies
• Microsoft Advertising Policies

We are not responsible for products disapproved by channels due to policy violations, missing attributes, or inaccurate product data submitted by you.

7. Data and Privacy

Our collection and use of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Service Availability

• We aim to provide 99.5% uptime but do not guarantee uninterrupted availability of the App or connected channel APIs.
• We are not liable for downtime caused by Shopify, Google, Meta, Microsoft, or other third-party services.
• Scheduled maintenance will be performed during low-traffic periods where possible. We will endeavour to notify active paid merchants of planned downtime exceeding 30 minutes.

9. Disclaimers and Limitation of Liability

THE APP IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE APP SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

10. Termination

• You may terminate your use of the App at any time by uninstalling it from your Shopify store.
• We may suspend or terminate your access if you violate these Terms, fail to pay subscription fees, or engage in conduct that harms other users or our services.
• Upon termination, your data will be deleted in accordance with our Privacy Policy.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by a prominent notice within the App at least 14 days before the changes take effect. Continued use of the App after the effective date constitutes your acceptance of the revised Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which the operator is registered, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration or in the courts of that jurisdiction.
